Who we are and what these terms cover

This website is operated by Trexo Robotics Holdings, Inc. ("Trexo", "we", "us"), a Delaware corporation, 440 N Barranca Ave #1001, Covina, CA 91723, the Trexo entity that contracts with families and clinics in the United States. Trexo Theo is made by our affiliate Trexo Robotics Inc. of Mississauga, Ontario, Canada. These Terms of Use ("Terms") govern your access to and use of us.trexorobotics.com and any related pages we operate for the United States (the "site"). By using the site you agree to these Terms. If you do not agree, please do not use the site.

These Terms cover the website only. They are separate from, and do not replace, the following documents, each of which controls its own subject matter:

  • the reservation terms, which govern any reservation deposit you place through this site;
  • the separate written purchase agreement you sign with Trexo, which governs the purchase of a device;
  • the End User License Agreement (EULA), which governs your relationship with Trexo before, during and after any purchase: reservations, the assessment and prescription steps, training, and use of the software that runs a Trexo Theo device and its companion tablet;
  • the privacy policy and the consumer health data privacy policy, which describe how we handle personal information.

The site is intended for parents, legal guardians, caregivers, clinicians and adults considering Trexo Theo for themselves. You must be at least 18 years old to submit a form or place a reservation.

Purpose of this website

This site is informational. It describes Trexo Theo, provides educational content for families and clinicians, and lets you contact us, take a fit check, and reserve a place in our queue. Submitting a form or placing a reservation on this site does not create a contract for the sale, rental or supply of any device. A purchase happens only when you sign a separate purchase agreement with Trexo.

Specifications, availability, delivery timing and pricing described on the site can change. Nothing on the site is an offer to sell. Any price is confirmed in writing before a purchase agreement is signed.

Not medical advice

Content on this site is general information about a medical device. It is not medical, clinical or therapeutic advice, and it is not a substitute for assessment by a qualified healthcare professional. Always seek the advice of your or your child's physician or therapist with any questions about a medical condition or whether Trexo Theo is appropriate. Never disregard professional medical advice because of something you read on this site.

Trexo Theo is a powered exoskeleton cleared for marketing in the United States under FDA 510(k) K254198. It is indicated to perform ambulatory functions in patients 12 years and older with cerebral palsy, under the supervision of a trained companion or trained therapist certified to the applicable training program. Trexo is a prescription device: federal law restricts it to sale by or on the order of a licensed healthcare practitioner. Individual results vary.

Family stories, videos and published research on the site describe the experience of specific people or studies. They are not a promise of any outcome for you or your child.

Forms, contact and reservations

When you submit a contact form, fit check, clinician inquiry or reservation, you confirm that the information you provide is accurate and that you have the authority to share it, including on behalf of the child or person the inquiry concerns. You agree to keep the contact details you give us current so we can reach you about your inquiry or reservation.

A reservation placed through this site is not a purchase. The deposit is fully refundable until you sign a written purchase agreement with Trexo, as set out in the reservation terms. Reserving does not guarantee that Trexo Theo will be appropriate for the intended user; a clinical assessment and a prescription are required before any device is built.

Payments on the site are processed by Stripe under its own terms. Trexo never receives your full card number.

Your information

How we collect, use and share personal information submitted through the site, and throughout the Trexo Theo program, is described in our privacy policy. Health information is also covered by our consumer health data privacy policy. Any choices you make about text messages are made on the reservation form and are governed by the privacy policy, not by these Terms.

Acceptable use

You agree not to:

  • use the site for any unlawful, fraudulent or harmful purpose;
  • submit information that is false or misleading, or that infringes the rights of others;
  • submit information about another person, including a child, without the authority to do so;
  • attempt to gain unauthorized access to, probe, scan or test the vulnerability of the site or any related system, or interfere with its operation;
  • scrape, copy or systematically extract content from the site, or use automated tools to submit forms or place reservations, except for legitimate search-engine indexing consistent with our robots.txt;
  • place reservations you do not intend to pursue, or in a way that suggests you are a dealer or reseller;
  • impersonate any person or entity or misrepresent your affiliation with Trexo.

We may suspend or block access to the site, and cancel and refund any related reservation, if we reasonably believe these Terms have been breached.

Intellectual property

All content on the site, including text, graphics, photographs, videos, the "tréxō" name and logo, the Trexo Theo name, and the underlying design and code, is owned by Trexo, its affiliates (including Trexo Robotics Inc.) or its licensors, and is protected by copyright, trademark and other intellectual property laws. Photographs and videos of families appear with their consent and may not be reused.

You may view the site and print or download individual pages for your personal, non-commercial use. Any other use, including reproduction, modification, redistribution, framing, or use in any dataset for training machine-learning or AI systems, requires our prior written permission.

If you send us feedback or suggestions about the site or Trexo Theo, we may use them without any obligation to you.

Third-party links and services

The site links to and embeds third-party services and content, such as Stripe for payments, YouTube for video, and the websites of funding organizations, clinics and published research. Those services and sites are governed by their own terms and privacy notices. We do not control them and are not responsible for their content, availability or practices. A link is not an endorsement.

Availability and changes

We work to keep the site available and accurate, including the clinical and regulatory statements on it, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue all or part of the site at any time without notice.

We may also update these Terms. We will post the new version here and change the date at the top. The version published at the time you use the site applies to that use. If you have placed a reservation, the reservation terms in force when you reserved continue to govern that reservation.

Disclaimers

To the fullest extent permitted by law, the site is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that information on the site is complete, current or free from error, or that the site will be free from viruses or other harmful components.

This section applies to the website only. Any warranty covering a Trexo Theo device is set out in your purchase agreement and is not affected by these Terms.

Limitation of liability

To the fullest extent permitted by law, Trexo, its affiliates, and their directors, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of, or inability to use, the site. To the same extent, our total liability for all claims relating to the site will not exceed one hundred US dollars (US$100) or the amount you paid us through the site in the twelve months before the claim, whichever is greater.

Some states do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, for fraud or willful misconduct, or under product liability or consumer protection laws that apply to you. These Terms do not limit any rights you have under your purchase agreement or the EULA.

Governing law and jurisdiction

These Terms and any dispute relating to the site are governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-laws rules. The state and federal courts located in Delaware have non-exclusive jurisdiction over any such dispute, and you and Trexo consent to their jurisdiction.

If you are a consumer, nothing in this section takes away protections you have under the consumer protection laws of the state where you live that cannot be waived by agreement, and you may bring a claim in the courts of that state where those laws allow it.

General

These Terms are the entire agreement between you and Trexo about your use of the site. They do not change the reservation terms, purchase agreement, EULA or privacy policies, which continue to apply on their own terms. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these Terms; we may assign them to an affiliate or a successor to our business.
